Usually it takes just a few minutes.
Changing a symlink.
Going to the install tool and modify the all congiuration settings.
Comparing and updating the DB structure (automatically).
Adding some stuff (like i.e. BE languages, that are working a bit different
now)
Done.

You don't have to use the new RTE if your clients prefer working with the
"old" one.
It's still available and works exactly the same way. And you don't have to
use the new skin, so maybe your clients won't even notice big differences.

The only thing you should make sure before: There should not be any
installed GLOBAL or SYSTEM extensions except those that come with 4.0.x
since you will lose them  when changing the symlink and have to reinstall
them lateron.

I think that's it ...
