and there is a forge-page for it
http://forge.typo3.org/projects/show/extension-phpunit
where you also find it's git-URL which would be:
git://git.typo3.org/TYPO3v4/Extensions/phpunit.git

That version works fine for me on master (the soon to become 6.2beta1).
